1. About These Terms
These Terms of Service ("Terms") govern your purchase and use of Midulate hardware devices, firmware, and the associated web editor ("the Services") provided by M2D2 Ltd ("M2D2", "we", "us").
By purchasing a device or using the web editor, you agree to these Terms. If you do not agree, do not use the Services.
2. The Hardware
2.1 Sale. When you purchase a Midulate device, you are buying physical hardware outright. Title passes to you on dispatch.
2.2 Warranty. Your device is covered by a 12-month warranty against defects in materials and workmanship from the date of dispatch. This warranty does not cover damage caused by misuse, physical impact, liquid ingress, unauthorised modification, or use outside the intended operating conditions.
2.3 How to claim under warranty. Contact us at hello@m2d2.co.uk with a description of the fault and proof of purchase. We will repair or replace the device at our discretion at no cost to you. We will cover reasonable return postage costs for warranty claims.
2.4 Your statutory rights. The warranty in clause 2.2 is in addition to, and does not affect, your statutory rights under the Consumer Rights Act 2015. Nothing in these Terms limits or excludes rights you have by law.
2.5 Change-of-mind returns. You may return your device within 14 days of receiving it, provided it is unused and in its original condition. This is your right under the Consumer Contracts Regulations 2013. Return postage costs are your responsibility for change-of-mind returns. To initiate a return, contact us at hello@m2d2.co.uk before sending anything back.
2.6 Refunds. Once a valid return is received and inspected, we will process your refund within 5 business days to your original payment method.
2.7 Liability. Our liability to you in connection with any hardware defect or failure is limited to the purchase price of the device. We are not liable for loss of income, loss of data, damage to other equipment, or any indirect or consequential loss arising from use or inability to use the device. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
3. The Firmware
3.1 Licence. The firmware embedded in your device is licensed to you, not sold. M2D2 grants you a personal, non-transferable, non-exclusive licence to use the firmware solely in conjunction with your provisioned device.
3.2 Restrictions. You may not: (a) redistribute, sell, or sublicence the firmware; (b) reverse engineer, decompile, or disassemble the firmware; (c) use the firmware on hardware other than your provisioned M2D2 device; or (d) remove or circumvent any device protection or authentication mechanism.
3.3 Updates. Firmware updates are provided free of charge. Updates may modify functionality. You are not required to install updates, but we may be unable to support older firmware versions indefinitely.
4. The Web Editor
4.1 Access. The web editor is provided free of charge. We reserve the right to modify, suspend, or discontinue it at any time, though we will give reasonable notice where practicable.
4.2 Compatibility. The web editor requires a compatible browser with WebUSB or WiFi support. We make no guarantee of compatibility with all browsers, operating systems, or network configurations.
4.3 No account required. Use of the web editor does not require you to create an account.
4.4 Local communication. All communication between the web editor and your device occurs directly between your browser and your device. This communication does not pass through our servers.
5. Intellectual Property
All intellectual property in the hardware designs, firmware, software, documentation, and branding belongs to M2D2 Ltd. Nothing in these Terms transfers any intellectual property rights to you beyond the limited firmware licence in section 3.
6. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts of England and Wales.
7. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on our website. Continued use of the Services after an update constitutes acceptance of the revised Terms.
